Hi,

OK, my last comment on this subject:  Anybody can form a corporation, and in 
some states they can do it without legal counsel.  And having a lawyer does 
not come close to meaning that one has a viable business plan.  And, finally, 
the IRS takes a close look at private corporations with a lot of deductions and 
little income.  But NOMB.
